These Terms of Service ("Terms") govern access to and use of Camera Engine (the "Service"), a camera-streaming platform operated by ZennialHub Technologies ("ZennialHub", "we", "us") and offered to vendors for resale to their own customers under the vendor's own brand. By creating a vendor account, requesting access, or using the Service, you ("Vendor", "you") agree to these Terms.

1. Acceptance of Terms

Submitting a signup request, accepting an operator-issued invite, or using any API key, admin session, or portal login issued under this Service means you accept these Terms on behalf of yourself and the organization you represent.

2. Description of Service

Camera Engine provides infrastructure to register RTSP IP cameras and deliver live video to your own application via WebRTC, along with customer provisioning, usage tracking, and billing-visibility tooling. The Service is provided for you to build and operate your own camera-monitoring offering under your own brand.

3. Accounts and Access

• Vendor accounts are reviewed and approved by ZennialHub before API access is granted.
• You are responsible for safeguarding your API key(s) and vendor portal credentials, and for all activity under them.
• You must notify us promptly if you believe a credential has been compromised, so it can be revoked or reset.
• Accounts and cameras registered under your account are scoped to you alone — you may only register cameras and provision customers you are authorized to act for.

4. Acceptable Use

You agree not to use the Service to:

• Access, or attempt to access, another vendor's cameras, customers, or data;
• Register a camera you do not have the right to monitor or stream;
• Interfere with or disrupt the Service's infrastructure or attempt to circumvent rate limits, authentication, or tenant isolation;
• Use the Service in a way that violates applicable law, including privacy and surveillance laws in your jurisdiction.

5. Billing and Payment

The Service is billed per active camera per month, plus an optional one-time setup fee, at the rate agreed with you individually. Usage is tracked automatically; invoicing is currently handled manually against that usage. Payment terms will be confirmed with you directly as part of onboarding.

6. Service Availability

The Service is under active development. At this time there is no formal Service Level Agreement (SLA). We aim for high availability but do not guarantee uninterrupted access.

7. Data and Privacy

Our data-handling practices are described in the Privacy Policy and Data Compliance page, both incorporated into these Terms by reference.

8. Intellectual Property

ZennialHub retains all rights in the Service's underlying software and infrastructure. You retain all rights in your own brand, application, and customer data. Nothing here grants you rights to use ZennialHub's trademarks except as needed to reference that the Service powers your offering, where agreed.

9. Limitation of Liability

To the maximum extent permitted by law, ZennialHub is not liable for indirect, incidental, or consequential damages arising from use of the Service, including loss of data, revenue, or business, except where caused by our gross negligence or willful misconduct. liability cap — to be specified

10. Termination

Either party may terminate this relationship at any time. We may suspend or terminate access immediately for a violation of these Terms, non-payment, or suspected misuse. Upon termination, your API keys and portal access are revoked; your customers' data is retained per our retention practices unless deletion is requested.

11. Changes to These Terms

We may update these Terms as the Service evolves. Material changes will be reflected here with an updated date; continued use after a change constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of jurisdiction — to be specified, without regard to conflict-of-law principles.
